Long-Term Loan for the Municipality of Siewierz

The contract involves providing a long-term loan of 3,454,838.17 PLN to the Municipality of Siewierz. The loan will be used to finance previously incurred obligations. The loan will be disbursed in tranches from the date of contract signing until December 31, 2025, based on the needs of the buyer, initiated by a written request sent to the bank at least 2 business days before the planned payout date. The buyer reserves the right to not utilize the full loan amount without incurring additional costs. The loan will have a variable interest rate based on the WIBOR 3M rate, calculated as the average of the last 10 quotations preceding the interest period, plus a fixed bank margin. Repayment will occur in 37 installments according to the repayment schedule from May 31, 2026, to November 30, 2032. Interest payments will begin upon loan disbursement, occurring monthly on the last business day of each month. The buyer may repay the loan early without incurring additional interest or fees. The loan will be secured by a blank promissory note and a promissory declaration. The buyer will not allow the bank to charge the municipality's account on the due date for repayment. The buyer will not be subject to bank enforcement and will not submit to enforcement obligations. The contractor must provide written information about the total interest for the accounting period within 7 days of the start of the period. If the loan is unavailable during the specified time, the buyer reserves the right to compensation for incurred losses. The contractor must have the necessary banking permissions at the time of contract signing. If the WIBOR 3M rate is discontinued, it will be replaced by a similar rate without costs to the buyer, and the bank's margin will remain unchanged. The contractor acknowledges that the variability of the interest rate ensures that they will not incur losses under this contract.
